Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by AutoAI Labs Ltd ("AutoAI Labs", "we", "us", or "our"), a company registered in England and Wales.

By engaging our services, you ("the Client") agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services

AutoAI Labs provides autonomous software product engineering services. Our 16-agent AI pipeline delivers software products including but not limited to:

• Web applications and SaaS platforms
• Landing pages and marketing websites
• API and backend services
• Documentation and technical writing
• Video production and marketing assets
• Cloud infrastructure provisioning and deployment

The specific deliverables for each engagement will be defined in the project scope agreed upon prior to commencement.

3. Intellectual Property

3.1 AutoAI Labs IP

AutoAI Labs retains all intellectual property rights in its proprietary AI pipeline, agents, tools, methodologies, frameworks, and any reusable components or templates used in the delivery of services. Nothing in these Terms transfers ownership of AutoAI Labs' underlying technology to the Client.

3.2 Client Licence

Upon full payment, the Client receives a perpetual, non-exclusive, non-transferable licence to use, modify, and deploy the delivered software product for the Client's own business purposes. The Client may not resell, sublicence, or distribute the source code as a standalone product.

3.3 Client Content

Any content, data, branding, or materials provided by the Client remain the Client's property. AutoAI Labs will only use such materials for the purpose of delivering the agreed services.

4. Payment Terms

• Deposit: A non-refundable deposit of 50% of the total project fee is required before work commences.
• Final payment: The remaining 50% is due upon delivery of the completed product and before handover of source code and deployment credentials.
• Payment methods: Bank transfer (BACS/Faster Payments), or such other methods as we may agree in writing.
• Late payments: Invoices not paid within 14 days of the due date will incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
• All prices are quoted exclusive of VAT unless otherwise stated. VAT will be charged at the applicable rate where required.

5. Project Scope and Changes

The project scope will be defined during the intake phase and documented in the project blueprint. Any changes to the agreed scope may result in additional charges and timeline extensions. Material scope changes must be agreed in writing by both parties.

6. Delivery and Acceptance

Upon completion, AutoAI Labs will deliver the product along with a handover package including documentation, deployment credentials, and a delivery receipt. The Client has 14 days from delivery to review and report any defects against the agreed specifications. Defects reported within this period will be remedied at no additional cost. After the acceptance period, additional work will be subject to separate quotation.

7. Warranties

AutoAI Labs warrants that:

• Services will be performed with reasonable skill and care;
• The delivered product will materially conform to the agreed specifications for a period of 30 days (Starter), 90 days (Growth), or as agreed (Enterprise) from delivery;
• The product will not knowingly infringe any third-party intellectual property rights.

Except as expressly stated in these Terms, all warranties, conditions, and representations (whether express or implied, statutory or otherwise) are excluded to the fullest extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law:

• AutoAI Labs' total aggregate liability under or in connection with these Terms shall not exceed the total fees paid by the Client for the relevant project.
• AutoAI Labs shall not be liable for any indirect, consequential, special, or incidental damages, including but not limited to loss of profits, loss of data, loss of business, or loss of anticipated savings.
• Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

9. Confidentiality

Both parties agree to keep confidential all information received from the other party that is marked as confidential or that would reasonably be considered confidential. This obligation survives termination of the engagement for a period of two years.

10. Data Protection

AutoAI Labs processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For details on how we handle personal data, please see our Privacy Policy.

11. Termination

Either party may terminate the engagement by giving 14 days' written notice. In the event of termination:

• The Client shall pay for all work completed up to the date of termination;
• The non-refundable deposit shall be retained by AutoAI Labs;
• AutoAI Labs will deliver any completed work product to the Client.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet outages, or failure of third-party services.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Entire Agreement

These Terms, together with any project-specific scope documents, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings relating to the subject matter.
